Terms of Service

1. Acceptance of Terms

By accessing or using StrikePoint ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is operated by Sylas Software and is available at usestrikepoint.com.

2. Description of Service

StrikePoint is a bid management and estimation platform for pavement marking contractors. The Service provides tools for tracking bid requests, organizing project documents via Google Drive, maintaining a bid board via Google Sheets, analyzing blueprints, generating bid estimates, and managing team assignments.

3. Accounts

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must be at least 18 years old to use the Service.

4. Draft Output Disclaimer

ALL OUTPUTS FROM STRIKEPOINT — INCLUDING BUT NOT LIMITED TO TAKEOFF QUANTITIES, COST ESTIMATES, BID AMOUNTS, MATERIAL CALCULATIONS, AND LABOR ESTIMATES — ARE PROVIDED AS DRAFT DOCUMENTS FOR REVIEW PURPOSES ONLY.

You are solely responsible for reviewing, verifying, and approving all quantities, pricing, and terms before using them in any bid, proposal, invoice, or contract. StrikePoint does not guarantee the accuracy, completeness, or fitness of any AI-generated output for any particular purpose.

By using the Service, you acknowledge that:

  • AI-extracted quantities may contain errors and must be verified against source documents
  • Cost estimates are based on user-provided rates and may not reflect actual market conditions
  • You are the licensed professional responsible for the accuracy of your bids and estimates
  • StrikePoint is a tool to assist your workflow, not a replacement for professional judgment

5. Invoicing and Payments

StrikePoint provides invoicing features as a convenience for project billing between you and your clients. StrikePoint is not a party to any agreement between you and your clients. We do not provide accounting, tax, or legal advice. You are responsible for compliance with all applicable tax laws and business regulations in your jurisdiction.

6. Your Data

You retain ownership of all data you upload to or create through StrikePoint, including bid documents, project details, pricing information, and business data. We do not claim ownership of your content. You grant us a limited license to use your data solely to provide the Service. Your blueprints, plan sets, bid pricing, client details, and business strategy data are never used to train AI models. See our Privacy Policy for details on how we handle your information.

7. Provider Integrations

If you connect your Google account, you authorize StrikePoint to create and manage Google Sheets and Google Drive folders on your behalf. If you connect your Microsoft account, you authorize StrikePoint to create and manage related OneDrive and Excel Online artifacts for bid board workflows. For selected workspaces, StrikePoint may also support limited-availability Gmail inbox access for bid intake. Files created by StrikePoint in your connected storage provider remain your property and are subject to that provider's terms. You may revoke access at any time through the provider account or through StrikePoint settings.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Attempt to gain unauthorized access to any part of the Service.
  • Interfere with or disrupt the Service or its infrastructure.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Share your account credentials with unauthorized parties.

9. Billing and Payments

  • Paid plans are billed monthly or annually as selected at checkout.
  • Payments are processed through Stripe. You agree to Stripe's terms of service.
  • Free trials last 14 days and include up to 4 AI takeoffs total. If you do not subscribe before the trial ends, your access to paid features will be suspended.
  • You may cancel your subscription at any time. Access continues through the end of your current billing period.
  • Refunds are not provided for partial billing periods.

10. Service Availability

We strive to keep the Service available at all times but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability. We are not liable for downtime or service interruptions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRIKEPOINT AND SYLAS SOFTWARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICE OR ANY INACCURACY IN AI-GENERATED OUTPUTS.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless StrikePoint, Sylas Software, and their officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, including claims from your clients related to the accuracy of bids, estimates, or invoices generated using the Service.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. You may request export or deletion of your data within 30 days of termination.

14. Changes to Terms

We may update these terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated terms. We will notify you of material changes via email or in-app notification.

15. Governing Law

These terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions.
